Exclusive deal info needed

Can someone dumb this down for me?? I've heard of the Perpetuity word before.


"Yes it is exclusive in perpetuity, 50/50 split on royalties and sync for the tracks we represent. We don't do any upfront fees".

I'll try to break it for you, and I hope I'm not mistaken. But again whenever in doubt, check with a lawyer.

Exclusive: easy one, the track is signed ONLY with this library.
Perpetuity: forever.
50/50 split: which is basically the same as you keep 100% writer's share and they keep 100% of the publisher shares
Royalties: basically back end monies
Sync: Or sync fee. Theoretically divided into 2 parts (The sync and the Master fee), but you only deal with one (most of the times combined). It's basically the amount paid to the library for the usage of your track.
Upfront fees: It's when a library pays the composer a "Buy-out" fee. Usually, if you get an upfront fee, you rarely get any split on sync fees.
