Hi Folks,
I have recently signed 3 instrumental to a non-ex library, there a few clauses that I haven't come across before in either non-ex or exclusive deals. if anyone can advise if this is acceptable I would be very grateful. they are as follows.

1) Allow Clients to record Your musical Compositions (including the music and/or lyrics thereof in any arrangement, orchestration or language),

2) Allow Clients to sell, license, distribute, sub distribute, export, and import said Recordings and/or copies from and into any country or territory throughout the world

3) You will not upload any Non-Exclusive Audio for distribution by **** that is for free elsewhere or for a minimum of 20% less than the value of the Composition on the **** website

clause 1) does this mean that any re-recording or translation of the song will then derive a synch fee for whoever does this and I will just get my writer PRO royalties?

Clause 2). This puzzles me as I would have thought the seller would be the library I signed it to, also I don't' really get how the sub distribution works if it is the licensee doing this, again I would have thought that the library I signed tracks to would take on that role, maybe I am complicating it too much and this only means that any TV/Film product must be allowed to be sold and distributed as would be expected.

any advice on how this works please?

Clause 3). I know that my material is not being distributed free but how would I know what license fees are being charged, when I have had placement in the past it is a case by case negotiation by the library and I only know how much it has gone for when I get news of the placement, there are no displayed or pre-set prices on deals I have signed so far.

I am glad to have songs with a new library and the good thing is there is no restriction on termination if I decide it is not for me. your thoughts are much appreciated.
